SYSTEM AND METHOD FOR FACILITATION CROSS ORDERS

[0001] The present application is related to PCT International Application No. PCT/US13/59558, filed Sep. 12, 2013, titled “TRANSMISSION LATENCY LEVELING APPARATUSES, METHODS AND SYSTEMS,” which claimed priority to U.S. Provisional Application Nos. 61/700,094 (filed Sep. 12, 2012), 61/753,857 (filed Jan. 17, 2013), 61/758,508 (filed Jan. 30, 2013), and 61/876,200 (filed Sep. 11, 2013). All of the above-referenced patent applications are incorporated herein by reference in their entireties.

[0003] The present inventions disclosed herein relate generally to apparatuses, methods, and systems for electronic trading and/or auction. More particularly, the present inventions relate to a system and method for facilitation cross orders and other trade-facilitating techniques.

[0004] Consumers use auction-based systems to bid for and offer goods of value. Such auction-based systems can include an online shopping site, an online ticket booking system, electronic market, or any other trading exchange.

[0005] In the field of financial investments, individual investors and traders can buy or sell securities (such as stocks and bonds), foreign currencies, and financial derivative products over an electronic trading platform. Well known electronic trading platforms, such as NASDAQ, NYSE Arca, Globex, London Stock Exchange, BATS Direct Edge, Chi-X Global, TradeWeb, ICAP, and Chicago's Board of Trade, provide virtual marketplaces comprising an information technology infrastructure for buyers and sellers to bid on financial instruments. Typically, a trader submits a bid to an electronic trading platform via an electronic terminal such as a personal computer user interface; and the electronic trading platform transmits bid and ask information that reflects real-time pricing of a financial instrument via a communication network to computer terminals of different trading entities.

[0006] There have been efforts made in the financial community to improve the efficiency and fairness of electronic trading systems at market centers and exchanges such that the buy-side investors can route and execute their trade orders without being taken advantage of by other players in the market such as high frequency traders. Many investors are not well informed about predatory trading practices in the security market and may not realize that they could exert some control over their trade orders that used to be completely entrusted to brokers or brokerage firms.

[0007] Furthermore, the existing private and public market centers or exchanges tend to distribute too little or too much trade information to market participants. As a result, there is a lack of transparency with some marketplaces while an oversupply of market data in others, both of which create opportunities for unfair trading practices against investors and could lead to their distrust of the marketplaces.

[0008] Existing electronic trading platforms also lack an efficient mechanism to help brokers or brokerage firms mitigate risks in certain situations when they have to take on risky positions in providing services to their investor clients. Many such services and related trades are still handled manually and/or on an ad hoc basis, potentially exposing the brokers or brokerage firms to market risks longer than necessary.

[0009] In view of the foregoing, it may be understood that there are significant problems and shortcomings associated with current tools and methods for electronic trading.

[0010] To overcome the above-mentioned and other problems and shortcomings in the prior art, the present application discloses a number of techniques for improving electronic trading.

[0011] According to some embodiments of the present invention, an electronic trading system may establish a new Facilitation Cross order type which automatically performs a number of trading steps in a single uninterrupted sequence so as to help a risk trader fulfill a client investor's trading request efficiently and with lower market risk.

[0012] The present invention will now be described in more detail with reference to exemplary embodiments thereof as shown in the accompanying drawings. While the present invention is described below with reference to exemplary embodiments, it should be understood that the present invention is not limited thereto. Those of ordinary skill in the art having access to the teachings herein will recognize additional implementations, modifications, and embodiments, as well as other fields of use, which are within the scope of the present invention as described herein, and with respect to which the present invention may be of significant utility.

[0033] Embodiments of the transmission latency leveling technology (hereinafter “TLL”) provides an electronic trading order management infrastructure, such as a “point-of-presence” or “POP,” which receives and routes electronic trading orders from different trading entities at a network access point via a transmission medium to create a certain amount of transmission latency before the trading orders could arrive at and be executed by electronic market centers to reduce order book arbitrage that may be exploited by high frequency trading participants. The TLL/POP infrastructure may also impose some amount of transmission latency on outgoing market data updates in order to reduce such unfair trade practices as latency arbitrage.

[0034] In some implementations, the TLL allows an investor to elect various order handling instructions from an application (website, desktop, etc.) which then creates a custom specification (e.g., in accordance with Financial Information eXchange (FIX) protocol for electronic trading) such that those elections can be sent over any medium to a broker (or vendor). The instructional videos, behind a secure login (or not), provide context for the order handling elections. The types of elections and/or order handling instructions could be extensive, but minimally include order routing preference and sequence, and a preference on a percentage allocation of resting order flow to a given trading venue.

[0035] In some implementations, the TLL provides for technical functions within the trading system relating to sequencer, memory management, and resiliency/redundancy. In some embodiments, the TLL may provide web form with a series of educational videos to help (A) inform investors about certain practices in the market generally, and (B) to let investors then select from a series of options to help them generate a set of instructions to help request tailored order routing and algorithm configurations from their broker(s).

[0036] In one implementation, a Point-of-Presence (POP) access point may be installed and configured to receive trading orders from market participants and pass on the orders to a data exchange for execution; the transmission to and from POP may lead to additional transmission latency, which may be the location of the market participant (e.g., transmission distance, etc.), transmission medium (e.g., cable, microwave, etc.), circuit resistance, other information technology infrastructure advantage and/or other transmission speed advantage, and/or the like. For example, the length of the cable required to connect the POP and a data exchange or market participant terminal may be utilized to create a transmission latency. Such transmission latency may be controllable by adjusting the length of the transmission cable.

[0037] In one implementation, the POP may comprise a piece of non-intelligent network hardware including at least one communication link with an input port for receiving orders, and another communication link with an output port for transmitting the received orders to a data exchange and/or other entities. In another implementation, the POP may comprise a computer readable medium storing computer executable instructions to perform a series of instructions by a processor.

[0038] It should be noted that although the examples discussed herein often include market data centers and data exchanges for financial instrument trades, the TLL may be applied to any auction-based systems or electronic markets, such as, but not limited to trading exchanges or dark pools for securities, currencies, or other financial instruments, alternative trading systems, Electronic Communication Networks (ECNs), matching engines, advertising exchanges (display, mobile, radio, search, video, and/or the like), online flight ticket/hotel booking systems, online auction shopping systems, electronic markets, virtual world in-game markets such as those found in massively multiplayer online role-playing games (MMORGs), and/or the like.

[0039] Further, the TLL may be applied to any electronic messaging systems where latency and/or access to resources is a consideration. For example, in an online video game where the speed at which players receive and submit messages determines how quickly they are able to understand and respond to conditions in the game, and where a player is able to react and register actions ahead of other players, gains an advantage that may result in said player winning the game. As such, the TLL may provide institutionalized fair access to information and resources with an auction-based system.

[0040] Typically, the market center or electronic exchange served by the TLL/POP infrastructure do not receive trading orders or execution instructions directly from investors but have to receive the orders/instructions through the brokers or brokerage firms who may or may not be interested in or capable of providing flexibility to the investors in order routing or trading strategy. In order for them to take full advantage of the efficiency and fairness of the TLL/POP infrastructure, it may be advantageous to provide investors with an informational and educational portal that not only explains the risks from predatory trading behavior and available countermeasures but also assists the investors to configure their routing and trading preferences. According to some embodiments, the TLL portal may collect an investor's trading preferences and then generate instructions for the investor to convey to a broker who executes the investor's trades. Alternatively, according to other embodiments, the trade routing and execution configurations may be set by an investor directly on the TLL system, as described below in connection with FIG. 4B, and then applied by the TLL system to the investor's orders and trades.

[0041] FIGS. 1A-1B provide an illustrative example showing aspects of resting order reallocation within embodiments of the TLL. In some implementations, a market participant (e.g., investor) may place an order with a broker, and the broker may provide the participant with several choices of trading algorithms and markets. The market participant's selection or preference of those trading algorithms and markets, for example, may be either configured directly on the TLL portal or supplied to the broker based on the instructions generated from the TLL portal.

[0042] The investor's configurations may include order routing and trading preferences and/or sequence, such as routing to lit (public) markets versus dark pools, pinging an order versus resting an order versus split-resting an (with balanced re-allocation), the percentage allocation of resting order flow to a given trading venue, whether to perform market checks for rest order fulfillment before order routing, and so on.

[0043] For example, trading markets may be exchanges such as lit markets and/or dark pools. In some cases, participants may customize trading algorithms to their preferences. For example, the market participant may choose a strategy of either pinging or resting an order in the trading market. In some implementations, when a participant chooses to ping markets, an order is sent to markets blindly to find a trade. But, in these embodiments, the participant's order may be faced with other investors looking to trade in size and/or employing predatory strategy of using some number of shares, such as 100 shares, as bait for a trading signal. With the average size of trades in most markets being less than 200 shares (according to Financial Industry Regulatory Authority (FINRA). ATS Transparency Data. FINRA, 18 Aug. 2014), in these embodiments it is likely the other investors are employing the aforementioned predatory (high-frequency trading) strategy. In some implementations, a participant may choose to rest an order in markets, i.e., place an order in the markets and wait for trades to take place. In some embodiments, the TLL may provide for trusted markets, where the impact of predatory strategies is reduced. In some embodiments, if other market participants such as investors and brokers rest in same trusted markets, the probability of natural trading participants (for example, participants that are not employing predatory strategies) finding each other may increase, and the exposure to predatory strategies is reduced.

[0044] In some embodiments, an order may be split-rested between multiple different markets. For example, an investor's broker may have a preferred market where the broker places resting orders, and an order may be split-rested between a trusted market, such as one provided by the TLL, and a broker's preferred market. In some implementations, a market participant may benefit from the best markets by reallocating orders from markets where the resting orders are not executing to ones where they are executing. For example, a balanced re-allocation method may be utilized to split-rest an order into two or more trading markets, and when an order receives a complete fill and executes in any of the selected markets, the remaining marketable shares may be immediately sent to that market in an attempt to trade the remaining shares. In some implementations, after a reasonable amount of time passes, the remainder of the order may be redistributed in a balanced manner among the selected markets. As another example, the resting order may be evenly split and allocated amongst the selected markets, and some of the resting order in one market may receive a fill. In these embodiments, the remaining shares may be evenly reallocated amongst the markets.

[0045] As shown in FIG. 1B.(c) and further illustrated in the flow chart in FIG. 10A, it may be desirable to assist investors to formulate their order routing/trading preferences and communicate the same to their respective brokers.

[0046] In Step 1002, educational content may be presented to an investor visiting or logging into the TLL portal. The educational content may be presented via an interactive user interface and may include one or more textual, audio, and/or video materials explaining the fairness and transparency advantages of the TLL trading platform and the danger of predatory trading activities and HFT players. For example, the TLL portal may show or have links to user guides, white papers, testimonials, cartoons, and video clips describing the TLL/POP methodology and available routing and trading strategies.

[0047] In Step 1004, the investor's answers to a series of questions on routing preferences and/or trading strategies may be collected by the TLL system. The series of questions may be presented in a more interactive Q&A session or could be listed a less interactive questionnaire form. For example, the investor may be prompted to select a percentage of his/her passive non-displayed orders to rest at a TLL-facilitated market center. The investor may further specify whether to rest orders using a limit price that is consistent with the investor's original order limit. For another, the investor may also be prompted to decide whether to use a balanced re-allocation method for an order split-rested in two or more pools. The investor could request a configuration where, if an order in any of the selected pools receives a complete fill, all remaining marketable shares are immediately sent to that pool in an attempt to trade additional shares. The investor may further choose to use market checks function as described in more detail below in connection with FIG. 1C.

[0048] Then, in Step 1006, the investor's answers (and choices) may be synthesized into a set of trade configurations which the TLL system may record in its database in association with the investor and/or his/her trade orders in Step 1010. While the questions and answers on the TLL portal user interface may be more colloquial, the synthesized trade configurations are typically in more accurate, somewhat technical terms for investment professionals. For example, the configurations may be formulated according to the FIX (Financial Information eXchange) protocol or other digital data exchange format.

[0049] Next, in Step 1008, one or more instruction sheets or specification documents may be generated for the investor to provide the trade configurations to the investor's broker or brokerage firm. For example, through the click of an on-screen button, the investor may cause an instruction sheet or specification document to be generated. The instruction sheet or specification document may be in the form of a portable document format (PDF), extensible markup language (XML), or other format. FIG. 10B shows one exemplary instruction sheet with trade configurations according to one embodiment of the present invention. In this example, the instructions are compiled by IEX Group's trading system and are directed at a broker who is responsible for placing trade orders for the investor. As shown, this particular instruction sheet includes the investor's preferences concerning “Non-Displayed Resting Interest,” an “IEX Check” fill-or-kill (FOK) order type, and “Broker Routing Strategy Inclusion.” These specific instructions allow the investor to take control (through the broker) of where and how trade orders are executed.

[0050] As mentioned above, the investor's interaction with the TLL portal also allows the investor-specific trade configurations to be recorded in a database. Subsequently, based on the recorded configurations, the TLL system may be able to confirm in Step 1012 whether the investor's trades are routed and/or executed in accordance with the pre-set trade configurations.

[0051] FIG. 1C provides an illustrative example showing aspects of market checks for rest order fulfillment before order routing within embodiments of the TLL. In some embodiments, the network effect from investors and brokers placing their rest orders in a trusted market may increase the passive liquidity available for trade at the market. But, in some implementations, market participants may be wishing to place an aggressive order that needs to be fulfilled immediately, and may choose to not rest their orders, thereby missing out on the passive liquidity available at trusted market. In some embodiments, TLL may provide for a check of a market, and the check may be an all-or-none or immediate-or-cancel order type. In such embodiment, a market participant's order is either fully filled or not filled at all, thereby eliminating the risk that a partial fill may send a signal to a predatory trading strategy. In some embodiments, if the order is not filled at the trusted market, the TLL may allow the broker to continue on with the broker's routing process without waiting or delay.

[0052] In some implementations, a market participant's routing strategy may contain a combination of dark market and lit market routings. In some implementations, an investor and/or broker may include the TLL's check with his/her regular routing process and allow oneself to access the liquidity that is made available by the TLL. For example, a broker and/or investor may utilize the TLL's check before routing aggressive orders to lit markets and any external liquidity destination, including a broker's own pool if one is available. In some implementations, the broker may use the TLL at the broker's own discretion. In some embodiments, as other market participants such as investors and brokers route passive and aggressive order through the TLL, the probability of natural trading participants' orders (for example, participants that are not employing predatory strategies) meeting may increase, and their exposure to predatory strategies reduced. In some embodiments, the TLL Smart Order Router will be connected to the lit exchanges (for example, the 11 available) only and is best used for taking liquidity aggressively on the lit markets. Other embodiments may include access to non-displayed liquidity sources.

[0053] FIG. 1D provides an illustrative example showing aspects of minimum quantity order trading within embodiments of the TLL. In some embodiments, some traders may use a minimum quantity order condition for their trades in order to be selective about contra-side trading interests. For example, the traders, attempting to avoid predatory strategies that use a certain number of shares (e.g., 100 shares) to fish for trading signals, may wish a minimum quantity order instruction to avoid the strategies. In some implementations, the TLL may provide systems that incorporate measures, including treatment of the minimum quantity order instruction, designed to protect traders' orders from predatory trading and maximize trading opportunities. For example, the TLL may make minimum quantity available in a limited set of tiers. In some embodiments, this may increase the probability of interactions between orders that fall within given tiers. In some implementations, if an order is decremented below its current minimum quantity tier, it will be corralled into the next lowest tier.

[0054] In some implementations, the TLL may provide for a composite process that allows for fulfillment of an incoming order by compositing resting orders that are smaller than the incoming order to satisfy the minimum quantity requirement of the incoming order. In some embodiments, the compositing of small orders may promote order interaction and also protect a market from predatory strategies that employ small orders to search for trading signals.

[0055] In some embodiments, the TLL may increase order interaction by matching resting orders with a minimum quantity instruction by a participation process. For example, a 1000 share minimum quantity buy order may be in the same pool as a 200 share one with a time priority over the 1000 share. In this example, if a 1000 share sell order comes into the pool, the incoming 1000 share sell order will trade first with the 200 share order and be left with 800 shares. In some implementations, the TLL may allow the 800 share sell order to trade with the resting 1000 share buy order, since the 800 share sell order fulfills the minimum quantity requirement of the 1000 share buy order. In such embodiments, the TLL allows traders' wish to be selective about contra-side trading interests while increasing trading opportunities.

[0056] FIG. 1E provides an illustrative example showing aspects of reducing latency arbitrage within embodiments of the TLL. In one implementation, in the financial instrument trading markets, some market participants may take advantage of the information technology infrastructure so that they could obtain market data feeds faster than other market participants and thus may formulate and execute trading strategies before other market participants react to the market change.

[0057] For example, in one implementation, locations where orders from market participants are executed may also be the location where orders are accepted, from which reports of quotations, executed trades, and other market data are disseminated to the public. By locating its trading entity at the same place (e.g., co-locating) and/or within close proximity to a market center, one market participant may be able to receive market data updates ahead of other market participants to whom the data dissemination may take a longer time. In one implementation, such market data transmission advantage may be caused by a variety of factors, such as, but not limited to the location advantage (e.g., shorter transmission distance, etc.), transmission medium (e.g., cable, microwave, etc.), circuit resistance, other information technology infrastructure advantage and/or other transmission speed advantage, and/or the like.

[0058] In one implementation, the market data may include quotations, last trade feeds, and/or other market information. In one implementation, the market center 120 may comprise any kind of exchange, market data publisher, alternative trading system, Electronic Communication Network (ECN), dark pool, and/or the like. In one implementation, the market center may comprise a data exchange that may execute a trading order. In further implementations, the market center may comprise a matching engine and a smart router that may match, route and/or re-route any orders to one or more data exchanges, which may be affiliated with the market center, or located at another market center.

[0059] Market participants, such as, but not limited to, high frequency trading (HFT) participants may take advantage of the faster data transmission advantage to engage in strategies known as “latency arbitrage.” As shown in FIG. 1E, in one implementation, e.g., by locating their trading systems closer to the market center 120, and/or the like, HFT participants 102c may receive market data (e.g., pricing update of “Coca Cola stocks” 103, etc.) sooner than other participants 102a-b whose systems are located farther away from the market center 120. The HFT participants 102c may then execute trades based on the newly received market data, e.g., to buy shares of Coca Cola 104, etc., before the other participants even receive the market data on Coca Cola stock price, e.g., 103. As a result, participants 102a-b who do not co-locate with, or locate their trading systems close to, the market center 120 may be forced to trade on out-of-date data, e.g., market participants 102a-b may generate and execute orders based on the Coca Cola stock prices change 103, but after the HFT participant 103c has already submitted trades 104 on the Coca Cola stocks which may cause new price changes. In one implementation, market participants other than HFT participants, e.g., any broker, individual investors, other trading entities, who enjoy any data transmission advantage at their trading terminals, etc., may take advantage of such latency arbitrage intentionally or unwittingly.

[0060] In one implementation, the TLL infrastructure may provide a “point of presence” (POP) structure 110 to alleviate the latency arbitrage and allow a wider range of participants access to a fair market. For example, as shown in FIG. 1E, the TLL may separate order acceptance and public source of the market data feeds from the market's execution center 120. In one implementation, the TLL may not permit orders to be directly submitted to the market center 120, and may require the trade order to be submitted to and re-routed at the POP 110, from which it is transmitted to the market center 120. In one implementation, when a pricing quotation (e.g., 103) is received or a trade executes, the data is transmitted from the market center 120 to the point of presence 110, from which it is then disseminated to the public. Similarly, trading orders may be re-routed at the POP 110, e.g., 105.

[0061] In one implementation, the POP 110 may comprise a hardware access point which may comprise a processor, a memory unit, one or more data I/O ports, and/or the like (e.g., see FIG. 6, etc.), and may be connected to the market center 120 and/or any market participants, trading data terminals, etc. via a variety of transmission mediums, e.g., cable, wireless, microwave, etc. In one implementation, the POP access point may or may not be physically separated from a matching engine at the market center 120, which executes an order, and/or matches and routes an order to another market center. For example, when the POP access point is located outside of the market center, the distance between the POP access point 110 and a market center 120 may lead to extra transmission time for data signals. In another example, the POP access point may be located with the market center, and may have additional cable coiled around the POP access point to create additional transmission time for data signals to arrive at the market center from the POP access point. Further physical specification (e.g., including the transmission medium type (e.g., cable, wireless, microwave, etc.), the cable length, electric circuit parameters such as resistances, transmission time measure, etc.) of a POP access point 110 may be provided in FIG. 2.

[0062] In further implementations, cable length, circuit resistance, and/or other hardware parameters of a POP access point may be adjustable, e.g., via a user interface, etc., so that the transmission latency created by the POP access point may be adjustable.

[0063] In one implementation, the TLL/POP structure may reduce the advantage of co-location by HFT participants 102c. A HFT participant 102c that locates its trading systems at the point of presence may receive a data feed delayed by the round-trip latency from the point of presence 110 to the market center 120. Thus, an HFT strategy (e.g., 104) based on the advantage of a lower-latency feed may no longer be certain that they will execute trades based on market data before other participants 102a-b even receive the data, e.g., 108, etc.

[0064] In a further implementation, as further illustrated in FIG. 1H, the data exchange 122b may route trading orders to a second venue (e.g., another exchange, ECN, etc.). In this case, if the sum of the latency from the market center 120 to the POP 110 (e.g., additional latency introduced by requiring market center 120 to publish market data including last trade feeds via the POP, etc.) and the latency from the point of presence to a second venue (e.g., additional latency introduced by requiring HFT participant to submit orders via the POP, etc.) is greater than the latency from the market center 120 to the second venue, orders from the market center may safely be routed to the second venue without interference from HFT participants. By introducing additional latency into the system, the unfair advantage of latency arbitrage is reduced.

[0065] FIG. 1F provides an illustrative example showing aspects of order book arbitrage reducing within embodiments of the TLL. In one implementation, as discussed in FIG. 1E, HFT participants 102b may seek to receive market data feeds faster than other market participant 102b so that the HFT participant 102c may be able to execute a trade before other market participant 102b could react to or even receive the market feeds. One example for such HFT trading strategy may include an order book arbitrage strategy. Order book arbitrage takes advantage of the necessary delays in propagation of market information by processing and acting on market information before a market center can process it, thus making the market center execute a transaction that, if it had more up-to-date information, it would not have executed.

[0066] For example, many market centers may allow participants to place orders with a “midpoint peg,” whose limit price is dynamically adjusted by the market center to always be halfway between the national best bid and offer prices (the NBBO), e.g., 121. The midpoint peg order is intended to only execute at the midpoint price of the present NBBO. For example, when the order is priced based on out-of-date NBBO data, the order price may not be the midpoint of the most up to date NBBO, and could result in the order not trading or trading a price inferior to the then up-to-date midpoint price.

[0067] For example, in market A, the NBBO is calculated as $0.10×$0.12 (i.e., NBB is at $0.10 and NBO is at $0.12) and the midpoint is $0.11. When the market moves up to a new NBBO $0.11×$0.13, the new midpoint is $0.12 and the trading order data may need to be updated accordingly in order to be an effective midpoint peg strategy. If the HFT participant gets the new midpoint ($0.12) before market A has time to update, the HFT participant may potentially buy shares at market A for $0.11 and instantly/simultaneously sell them on another market for $0.12 locking in a “risk free” arbitrage of $0.01. Such scenario may be different from an order that is repriced (e.g., under the U.S. Securities and Exchange Commission's Regulation NMS (“Regulation NMS”) or similar laws), wherein in market A, the NBBO is calculated as $0.10×$0.12, market A also has a bid at $0.09. If the market moves and the new NBBO is $0.09×$0.11 and market A doesn't update in time, it may not allow a sell order for $0.09 to match with the resting buy order for $0.09 (because Regulation NMS prohibits trading through the $0.10 bid). Alternatively, when there is an order pegged to the bid on market A and the NBBO is calculated at $0.10×$0.12, if the market moves and the new NBBO is $0.09×$0.11 and market A doesn't update in time, it may still have the order pegged to the bid $0.10; in this way, the HFT participant may sell at $0.10 and immediately look to buy on another market at $0.09.

[0068] In one implementation, the pegged limit price is determined by the market center with reference to the market data to which it has access. When the market center uses the consolidated market data feed to determine the NBBO while an HFT participant 102c, which may be co-located with the market center, uses proprietary market data feeds (from proprietary or 3^rd party ticker plants, such as Exegy, Redline, Wombat, and the like), the HFT participant 102c may be able to process an NBBO update, submit an order, and execute against a midpoint pegged order (e.g., see 114, etc.) before the market center has processed the NBBO update.
